Kikami Vijeju provides professional legal consulting, business advisory services, and executive coaching to clients primarily operating within Canada. Our services include but are not limited to:

• Business strategy development and implementation
• Regulatory compliance guidance
• Contract review and drafting
• Executive coaching and leadership development
• Market analysis and business planning

Client Responsibilities

As a client of Kikami Vijeju, you agree to:

Accurate Information

Provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Cooperation

Cooperate with us in all matters relating to the Services and provide such information and assistance as we may reasonably require.

Compliance with Laws

Comply with all applicable laws, regulations, and codes of practice in relation to your use of our Services.

Payment Obligations

Pay all fees as described in the service agreement or invoice in accordance with the payment terms provided.

Fees and Payment

Our fees for Services are as described in the specific service agreement or proposal provided to you. Unless otherwise stated, all fees are quoted in Canadian dollars.

Payment Terms

Payment terms are net 30 days from the invoice date, unless otherwise agreed in writing. Late payments may be subject to interest charges at the rate of 1.5% per month.

Taxes

All fees are exclusive of taxes, which will be added to invoices at the applicable rate.

Intellectual Property Rights

All intellectual property rights in or arising out of or in connection with the Services shall be owned by Kikami Vijeju. We grant you a limited, non-exclusive, non-transferable license to use the deliverables solely for your internal business purposes.

Client Materials

You retain all intellectual property rights in any materials you provide to us for use in connection with the Services.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party during the term of engagement and for a period of three years thereafter.

Limitation of Liability

To the fullest extent permitted by law, Kikami Vijeju's total liability to you for any claim arising out of or relating to these Terms or our Services shall be limited to the amount you paid us to use the Services.

Exclusion of Consequential Damages

In no event will we be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit damages.

Termination

Either party may terminate the engagement for Services upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days after receiving written notice of the breach.

Effect of Termination

Upon termination, you will pay all outstanding fees for Services rendered up to the effective date of termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration in Toronto, Ontario in accordance with the Arbitration Act of Ontario.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on our website and updating the "Last Updated" date.

Miscellaneous

These Terms constitute the entire agreement between you and Kikami Vijeju regarding our Services. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
